Hi, everyone. I've read this forum for years, but this is my first post. I am looking for a corporate law and tax attorney, preferably in the north metro Atlanta area. I have the opportunity to start a LLC with very sophisticated and well capitalized investors. I just received the draft operating agreement, created under the direction of the investors. I am definitely over my head, particularly by what I can tell is a significant emphasis on various allocations pursuant to the Delaware LLC Act and IRS code and regs. Does anybody have a recommendation for an attorney who could handle the little guy in this context?
