Educate me on this SoFi/IPOE merger...
« on: May 14, 2021, 11:38:42 AM »
I almost exclusively purchase index, but I'm branching out a bit as I have more time to explore crypto/single name to add a little diversity and keep it interesting. I think what SoFi is doing is pretty impressive and I'd like to invest in this company, however, I'm not entirely sure how this merger/IPO will behave in the market. If you currently own IPOE, will that convert to SoFi? Do you need a SoFi account to purchase it? Not a lot of clear information on the posts that I have seen (maybe I am not looking in the correct places...).

Appreciate resources or just an quick lesson on how this actually works.

Cheers

I do own IPOE.

The S-4 registration was declared effective earlier this month, so all shares of IPOE will move to SOFI on June 1, pending the shareholder votes (of both IPOE shareholders and current SoFi shareholders, separately)

The vote is held by shareholders as of April 29, so if you are buying now, you are along for the ride.

Note that any valuation information from the original investor presentation presumes the share price is $10.  It is $15 now, so it's like buying a stock after a traditional IPO.

The investor presentation and call from the IPO announcement is on the SoFi investor relations page.
