LLC Questions
« on: August 02, 2023, 03:05:10 PM »
I created an LLC in New York about 20 years ago so I could take on some corp to corp gigs.  I used the LLC for a couple of years but for the last 15 years I have been a regular old W2 employee.

I checked with the NY Dept of State and the corp is still active, and I still have EIN provided by the IRS at the time.

Fast forward 20 years, I have moved to North Carolina and I am looking at taking on a new corp to corp contract.

Can I simply use the existing New York LLC? (the business address is long out of date)

Or do I need to create a new LLC here in North Carolina?  Or can I transfer it...

You might want to post this question in the Entrepreneurship section, to make sure the right people see it. I have an LLC, but I am not confident enough in my response to assist you

Did you file taxes all those years you weren't working? I got a bill for like 14k from the IRS for an unused LLC I started using again after a period of dormancy. I didn't owe taxes, but I did get laye penalties + interest on those penalties for the years I didn't file reporting zero income.

If you have an existing NY LLC, you can register the business as a foreign LLC in NC in order to conduct business appropriately.

Well that's scary.  I see the process for setting up a new LLC here in North Carolina is very streamlined so I may just start from scratch.

Thanks!
